The case involved the breach of an Asset Purchase and Sale Agreement by the seller as well as of the included Consulting Agreement by seller’s principal. The matter focused on misrepresentations of the company’s financial statements upon which the purchase price was based and failure to properly assist in the transfer of the assets to the buyer, including the goodwill and intellectual property.
